I. Applicability and Service Description

1.1 Service Overview

These Terms of Use apply to all thnx membership services, including our lost-item recovery platform, thnx tags, mobile application, and finder's lottery program.

1.2 Applicability

These Terms apply to all offers made by thnx BV and to all membership agreements entered into with thnx BV. By registering for thnx membership or using our services, you accept these Terms and all other rights and obligations stated on our website.

1.3 Age and Eligibility Requirements

You must be 18 years or older to become a thnx member. By registering for thnx membership, you affirm that you are 18 years or older and have the legal capacity to enter into these Terms. If you are not 18 or older, you may not become a thnx member.

1.4 Geographic Coverage

thnx services global markets. Service availability may vary by location due to local regulations and partner network coverage.

1.5 Terms Updates

thnx BV reserves the right to change or supplement these Terms from time to time. Members will be notified of material changes via email with 30 days notice.

1.6 Third-Party Services

thnx BV is authorized to use third parties in the execution of membership services, including payment processors, logistics partners, and technology providers.

II. Membership Registration and Agreement 

2.1 Registration Process and Account Security

Membership agreements are established when:

• You complete the online or app registration form and payment

• You receive email confirmation from thnx

• Your membership status becomes active in our system

 

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

• Keep your username and password secure and confidential

• Provide accurate and complete registration information

• Keep your contact information current for recovery notifications

• Notify us immediately at [email protected] if you suspect unauthorized account access

 

Thnx may reclaim, suspend, or require you to change your username for any reason, including but not limited to trademark protection, inappropriate content, or technical requirements. 

 

2.2 Account Requirements

• Responsibility for account security and password protection 

2.3 Membership Validation

Thnx may validate membership eligibility and reserves the right to refuse or terminate memberships that don't meet our requirements or violate these Terms.

III. Membership Fees and Payment

3.1 Membership Pricing

• Monthly membership fees are clearly displayed during registration

• All prices areclusive of applicable taxes

• Fees include access to recovery platform, tags (where applicable). 

3.2 Payment Methods

• Available payment options include:

• Credit/debit cards

• Other methods as announced on our website

3.3 Payment Terms

• Monthly memberships: Payment due upon registration

• Auto-renewal: Unless cancelled, memberships automatically renew

• Payment failure: May result in service suspension

3.4 Payment Changes and Notifications

Thnx may change membership fees, payment terms, or billing procedures from time to time. We will provide you with at least 30 days advance notice of any material changes to:

• Annual membership fees

• Payment processing methods

• Billing cycles or procedures

• Additional service charges

Price changes take effect at your next membership renewal period. If you do not agree to fee changes, you may cancel your membership before the changes take effect without penalty. Auto-renewal memberships will continue at new rates unless cancelled before the renewal date.

Tax rates are calculated based on your location and applicable rates at time of billing and may change based on regulatory requirements.

IV. Lost & Found Recovery Services

4.1 Service Description

Thnx facilitates contact between members and finders of lost items through:

• Unique identification tags with QR codes/NFC technology

• Web-based reporting and contact system

• Automated notification services

• Finder's lottery reward system

4.2 Recovery service boundaries

Thnx provides a platform to facilitate contact between members and finders of lost items. Important limitations:

Facilitation Only: We act as an intermediary and communication facilitator

No Guarantee: We cannot guarantee items will be found, reported, or returned

Finder Independence: Finders are independent third parties not under our control

Safety Responsibility: Members are responsible for safe exchanges and personal security

Verification: We do not verify finder identity or conduct background checks

Members should exercise caution during all finder interactions and meet only in safe locations and situations. 

4.3 Member Responsibilities

• Apply tags properly to items according to instructions

• Keep membership information current

• Respond promptly to recovery notifications

• Handle finder interactions safely and responsibly

• Report any suspicious activity or safety concerns to thnx 

4.4 Finder Interactions

• Meet finders in safe locations or organise to pick up items from a trusted organisation.

• Report finder misconduct through our platform

• thnx is not responsible for finder conduct or safety during exchanges 

V. thnx Tags and Physical Products

5.1 Tag Provision and Ownership

• Members receive tags as part of membership service

• Replacement tags available for lost or damaged items (postage fees may apply)

5.2 Tag Usage Guidelines

• Use only for legitimate lost-item recovery purposes

• Do not modify, tamper with, or damage tags intentionally

• Apply to items you own or have permission to tag

• Remove tags from items when selling or disposing 

VI. Finder's Lottery Program

6.1 Lottery Mechanics

• 1% of membership revenue contributes to lottery fund

• £10,000 prize awarded when fund reaches threshold

• Random selection among verified honest finders

• Winners notified and verified before prize distribution 

6.2 Finder Eligibility

• Must successfully return lost item to rightful owner

• Identity verification required for prize claims

• Subject to local gaming regulations

• Tax responsibilities vary by jurisdiction 

6.3 Verification Process

Thnx reserves the right to verify all finder claims and may request documentation proving successful item return.

VII. Privacy and Data Protection

7.1 Data Collection and Use

We collect and process personal data in accordance with our Privacy Policy available at www.thnxtags.com, including:

• Registration and contact information

• Location data for recovery services

• Communication records between members and finders

• Payment and transaction data 

7.2 Data Sharing

• Contact information shared with finders only for legitimate recovery purposes

• No sale of personal data to third parties

• Emergency services access in safety situations

• Legal compliance requirements

7.3 Data Rights (GDPR Compliance)

You have the right to:

• Access your personal data

• Correct inaccurate information

• Request data deletion (subject to legal requirements)

• Object to certain processing activities

• Data portability where applicable

VIII. Member Conduct and Acceptable Use

8.1 Prohibited Activities

Members may not:

• Use services for fraudulent or illegal purposes

• Harass other members or finders

• Post inappropriate content on profiles or tags

• Interfere with service operations 

8.2 Intellectual Property Respect

• Respect thnx trademarks and copyrights

• Do not copy or redistribute our technology

• Report intellectual property violations

• Use services only for personal, non-commercial purposes 

8.3 Safety Guidelines

• Exercise caution when meeting finders

• Report suspicious behavior immediately

• Follow local laws and safety recommendations

• thnx provides safety guidelines but cannot guarantee personal safety

IX. Service Availability and Modifications

9.1 Service Availability

• Services provided on "as available" basis

• Temporary interruptions may occur for maintenance or updates

• No guarantee of continuous availability

• Force majeure events may affect service delivery

9.2 Service Modifications and Platform Evolution

thnx continuously evolves and improves our lost-item recovery platform and services. We may modify, suspend, or discontinue platform features, coverage areas, tag technology, finder communication systems, or lottery programs without prior notice or liability to you.

We have no obligation to maintain specific platform features, guarantee particular recovery success rates, or provide any specific level of finder participation. Platform improvements, coverage expansions, and feature updates are made at our discretion to enhance the service experience.

9.3 Service Discontinuation

If services are discontinued, members will receive 60 days notice and prorated refunds for unused membership periods.

X. Warranties and Liability Limitations

10.1 Service Disclaimers

THE THNX PLATFORM AND RECOVERY SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. thnx SPECIFICALLY DISCLAIMS ANY WARRANTIES REGARDING:

• Item recovery success rates or likelihood

• Finder honesty, reliability, or responsiveness

• Platform availability or technical performance

• Tag functionality or durability

• Lottery prize availability or timing

• Third-party service integration

NO ADVICE OR INFORMATION OBTAINED FROM thnx SHALL CREATE ANY WARRANTY. WE DO NOT GUARANTEE THAT LOST ITEMS WILL BE FOUND, REPORTED, OR RETURNED.

10.2 Enhanced Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, thnx's LIABILITY IS LIMITED AS FOLLOWS:

• Maximum liability shall not exceed your annual membership fee

• No liability for lost, stolen, or damaged items regardless of cause

• No liability for finder conduct, honesty, or safety during item exchanges

• No liability for failed recoveries or delayed notifications

• No liability for lottery prize delays or technical difficulties

• No liability for third-party service failures or integration issues

IN NO EVENT SHALL thnx BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

10.3 Member Indemnification

• Members agree to indemnify thnx against claims arising from:

• Misuse of services or tags

• Violations of these Terms

• Illegal activities or conduct

• Third-party claims related to member actions 

XI. Membership Cancellation and Refunds

11.1 Member Cancellation Rights

• 14-day cooling-off period for new memberships

• Annual memberships may be cancelled with 30 days notice

• Auto-renewal can be disabled in account settings

• Cancellation effective at end of current membership period 

11.3 Refund Policy

14-day period: Full refund minus any tags used

After 14 days: Prorated refunds for remaining membership period

Refunds processed within 30 days of approval

Return shipping costs for tags borne by member

XII. Dispute Resolution

12.1 Customer Service

12.2 Informal Resolution Requirement

Before filing any formal dispute, complaint, or legal proceeding, you agree to first attempt informal resolution by:

1. Initial Contact: Contact customer service at [email protected] with detailed description of the issue

2. Good Faith Discussion: Engage in good faith discussions for 30 days to resolve the matter

3. Documentation: Provide relevant documentation or evidence to support resolution

4. Settlement Conference: If requested, participate in phone or video conference with thnx representative

This informal resolution process is required before pursuing arbitration, litigation, or regulatory complaints. The 30-day period may be extended by mutual agreement.

12.3 Governing Law

All agreements governed by Dutch law.

XIII. Technical Requirements and Support

13.1 Platform Technology and Third-Party Integration

Our lost-item recovery platform may integrate with various technologies and third-party services including:

• QR code and NFC tag technology

• GPS and location services

• Email, WhatApp, Social Media and SMS notification systems

• Payment processing services

• Mobile applications and web platforms

We do not guarantee compatibility with all devices, browsers, or operating systems. Platform functionality depends on internet connectivity, GPS accuracy, and third-party service availability. We are not responsible for third-party service interruptions or technical limitations.

13.2 Technical Support

• Online FAQ available 24/7

• Email support within 48 hours

• Mobile app updates and maintenance

13.3 Connectivity Costs

Members responsible for internet and mobile data costs associated with service use.

XIV. Miscellaneous Provisions

14.1 Entire Agreement

These Terms constitute the complete agreement between member and thnx BV, superseding all previous agreements.

14.2 Severability

If any provision is deemed invalid in any jurisdiction, the rest of the agreement remains in full force.

14.4 Language

In case of conflicts between language versions, the English version prevails.

14.6 Platform Fee and Service Changes

Your membership includes access to our recovery platform, tag services (where applicable), and finder lottery participation. We may modify platform features, coverage areas, or service components to improve the member experience.

 

Service modifications may include:

• Enhanced tag technology or replacement programs

• Expanded coverage areas or partner networks

• Improved finder communication systems

• Additional security or verification features

Such improvements are included in your membership unless they constitute entirely new service categories, in which case we will provide clear notice of any additional charges.

 

By registering for thnx membership, you acknowledge that you have read, understood, and agree to these Terms of Use.

Terms and Conditions

By ticking the checkbox indicating agreement to the Hero terms and conditions, I acknowledge that I have read, understood, and agreed to this agreement. I understand that I am an independent contractor building my own business in collaboration with thnx.

1. Introduction

Thnx is committed to working with you as a Hero / Ambassador to uphold the highest ethical standards possible. As such, the following rules of conduct and Hero policies have been established for your protection and success. They represent the code of ethics by which all Heroes operate, designed to support your entrepreneurial journey while maintaining the integrity of our shared mission. We encourage you to read and understand them thoroughly, so you are fully aware not only of your opportunities but also of the support structure we've built for your success as a thnx Hero. We want to work together as partners to maintain the integrity of thnx, its innovative business model, and its growing network of independent Heroes.

These terms and conditions defend against behaviors that would disadvantage the Hero community and thnx.

2. Terminology

"Shares" refers to our monthly allocation system that determines your entitlement to revenue distribution.

"Monthly Distribution" refers to the allocated portion of retained revenue we share with our Hero community each month.

"System Manipulation" refers to activities designed to artificially inflate share allocations, create unfair advantages, or circumvent the legitimate operation of the compensation system.

"Cooling-off Period" refers to the 2-month period from registration during which Heroes may cancel their status and receive a full refund.

"Free Tags" refers to complimentary thnx tags provided to Heroes during their initial period, which must be returned for refund eligibility.

"Membership" refers to a thnx subscription providing access to thnx lost & found recovery services.

"Non-Hero Customer" refers to a customer who purchases a thnx membership or product but does not register as a Hero.

"Sponsor" refers to the Hero who directly introduces and supports a new Hero.

"Upline" refers to the chain of Heroes above a Hero, starting with their direct sponsor.

"Platform Fee" refers to the modest monthly fee charged after the initial 6-month free period to maintain active Hero status and access platform services.

3. Not a pyramid scheme

3.1 Our Legitimate Business Model

Thnx is NOT a pyramid scheme, chain distribution scheme, or illegal money circulation scheme. The thnx Hero program is a legitimate multi-level share system based on genuine product sales and valuable services that help people recover their lost items.

3.2 How We're Different from Pyramid Schemes

Pyramid schemes typically contain three prohibited elements that thnx specifically avoids:

• Large upfront investment requirements - Becoming a thnx Hero requires minimal startup costs, making our opportunity accessible to everyone.

• Payment primarily for recruiting others - Heroes earn from actual product sales and customer value creation, not recruitment.

• Little emphasis on genuine products - thnx provides real, valuable lost-item recovery services that solve genuine customer problems.

3.3 Our Revenue Sharing Philosophy

The thnx Hero compensation structure provides meaningful revenue sharing with Heroes through our comprehensive share-based system:

Product and Services Sales: Shares allocated based on thnx tag sales, and partner products sold to genuine customers.

Membership Acquisition: Share allocation tied to real membership acquisition and retention,

Comprehensive Revenue Sharing: Our Hero community receives an allocation from other thnx retained revenues, including partner sales, corporate memberships, and business collaborations - not just Hero-driven sales.

Complete Distribution Policy: 100% of the allocated Monthly Distribution is paid to the Hero community with nothing retained by the company

3.4 Success Through Service, Not Recruitment

Heroes do NOT receive direct payments for recruiting other Heroes. While you may benefit from your network's sales performance through our multi-level share allocation, all earnings originate from genuine customer transactions and the value you create in the marketplace.

4. Becoming a Hero

To join our Hero community, you only need to register a 12-month Hero membership. Becoming a Hero doesn’t cost you anything extra — the price is exactly the same as a regular Basic membership. The only difference is that Heroes pay their membership upfront for the year, while regular users can pay monthly. During registration, you’ll simply add the name of your sponsor, or we’ll assign one if you don’t have any.

After we review and approve your application, you'll accept these partnership terms and have 6 months to complete our training program. During your first 6 months as a Hero, there is no platform charge. After 6 months, you have the option to continue as a Hero or resign without penalty. If you choose to continue, paying the modest platform charge (detailed during registration) maintains your Hero status.

You then become a fully trained and valued Hero within the thnx network. While we welcome most applicants, thnx reserves the right to decline applications to maintain the quality and integrity of our Hero community.

Important Note: Your shares are based on memberships and additional sales of products and services, not only Hero recruitment.

4.1 Your Right to Reconsider

We want every Hero to be completely confident in their decision to join our community. You have a full 2-month cooling-off period from your registration date during which you may cancel your Hero status for any reason.

Cancellation Process: To cancel, submit a written request to [email protected] and return any free tags provided by thnx. Your cancellation request should include your Hero registration details and reason for cancellation.

Refund Terms: If you choose to cancel your Hero Membership and request a refund, the membership fee will be refunded to your original payment method within 4 weeks of receiving the returned items and your cancellation request. You are responsible for return shipping costs of any free tags or materials provided.

What Happens Without a Refund Request: If you cancel your Hero Membership but do not request a refund, your Hero status will be terminated and access to Hero-specific platform features will be discontinued. Your membership will automatically be converted into a Basic Membership, giving you continued access to thnx lost & found recovery services until the end of the prepaid annual period. After that, you may either continue with the Basic Membership (monthly payments at renewal) or fully terminate your membership at any time.

Cooling Off Period: This 2 month cooling-off period ensures you have adequate time to complete training, understand the opportunity, evaluate the business model, and make an informed decision about your Hero journey without pressure or penalty.

5. Applications from Former Heroes

We understand that circumstances change, and we welcome former Heroes back to our community. If you want to re-apply under the same sponsor as your previous Hero status, you may do so at any time. If you wish to re-apply under a different sponsor, we ask that you wait for at least 12 months after your previous Hero status has lapsed. This protects the relationships and investments made by sponsors. New applications must comply with all current requirements for joining as a Hero.

6. Equal Opportunity

Thnx welcomes people from all walks of life. We celebrate diversity and do not discriminate based on gender, race, nationality, religious beliefs, or political affiliations. Our opportunity is designed to be accessible and fair for everyone who shares our commitment to helping members & others.

7. Restrictions on Purchase Requirements

We believe in keeping barriers to entry low and ensuring accessibility for everyone. Becoming a Hero doesn’t cost you anything extra — your annual thnx membership, which is the same as a regular Basic membership, is the only requirement. All of our training courses are included at no additional cost.

You are not required to purchase inventory or stock products. Your initial annual thnx membership fee qualifies you to be eligible to be a thnx Hero. Your income and qualification are based solely on memberships and retail sales to genuine end customers. Engaging in bulk purchases or stockpiling products without genuine customer demand is discouraged and may violate our policies.

We do not require mandatory product purchases to maintain your Hero status, ensuring the thnx Hero opportunity remains accessible to all.

7.1 Platform Fee Transparency and Value

During registration, you will be clearly shown the monthly Platform Fee amount that becomes due after your initial 6-month free period. This nominal fee is transparently disclosed with no hidden costs or surprise charges.

Platform Fee Value and Services: The platform fee provides access to essential business tools and services including:

Hero Dashboard: Comprehensive business analytics and performance tracking to monitor your progress and growth.

Team Management System: Tools to manage and support your team effectively.

E-wallet Management: Secure platform to track, manage, and access your monthly distribution earnings.

Efficiency Tools: Streamlined systems that help Heroes operate more efficiently and professionally.

Training Materials: Ongoing access to updated training content and compliance resources.

Technical Support: Platform maintenance, security, and customer service support.

The platform fee ensures you have access to professional-grade business tools that enhance your effectiveness as a thnx Hero. Heroes may resign without penalty if they choose not to continue with the platform fee (Section 22).

 

8. Heroes Must be Individuals

To maintain personal accountability and clear business relationships, thnx only accepts applications for Hero status from individuals legally identifiable as natural persons. We cannot accept applications in the names of corporations, partnerships or other business entities. Your share allocations will be reported in your individual name and tax identification number.

9. Hero Age Requirments

To ensure all Heroes can legally enter into business agreements, applicants must be at least 18 years of age and otherwise legally competent and capable of entering into contractual agreements.

10. Share System Integrity and Fair Play

10.1 Protecting Our Community's Fair Share System

Our share-based compensation system is designed to reward genuine customer sales and authentic business building. To protect the fairness that makes our system trustworthy for all Heroes, we ask that you avoid any activities that could manipulate share allocations or create artificial advantages that undermine the integrity of our community.

10.2 Genuine Business Activity Standards

Heroes should not engage in activities, practices, or conduct that constitutes share system manipulation. This includes organizing or orchestrating product purchases primarily to generate share allocations or recognition rather than serving genuine customers or personal use. Our system works best for the whole Hero community when Heroes focus on building real customer relationships and sustainable businesses.

10.3 Examples of Concerning Practices

While we trust Heroes to operate ethically, activities that may indicate system manipulation include creating fake customer accounts, coordinating artificial purchase volumes, purchasing excessive inventory solely for share generation, or arranging transactions that prioritize share allocation over genuine customer benefit.

10.4 Protecting Everyone's Investment

Share system manipulation harms the entire Hero community by distorting the fair distribution of our monthly revenue sharing plan. When the system is manipulated, it reduces the shares earned by Heroes who are building genuine businesses and serving real customers. Your commitment to fair play protects the integrity that makes our opportunity valuable for everyone.

10.5 Addressing System Integrity Concerns

Share system manipulation undermines the fairness that makes our opportunity valuable for all Heroes. When concerns arise about potential manipulation, we're committed to investigating thoroughly and fairly while protecting the rights of all Heroes involved.

If potential manipulation is suspected, we'll conduct a careful investigation that includes giving you the opportunity to explain the circumstances and provide your perspective. During this review process, we may need to implement temporary protective measures to prevent potential harm to the community while ensuring fair treatment for all involved.

10.6 AI Monitoring and Data Protection

AI Monitoring Scope: thnx may use Artificial Intelligence and metadata analysis to monitor Hero activities for signs of system manipulation or misconduct. This monitoring may analyse:

• Transaction patterns and frequency

• Account activity and login behaviors

• Share allocation requests and patterns

• Communication patterns for policy compliance

• Product purchase and sales patterns

 

GDPR Compliance and Rights: In accordance with data protection laws, you have the right to:

• Request information about any AI-driven decisions affecting your Hero status or earnings

• Obtain human review of automated decisions that significantly impact you

• Challenge AI-driven conclusions through our appeals process

 

AI Decision Review Process: To request information about AI-driven decisions or human review, contact [email protected]. We will respond within 30 days with:

• Explanation of the AI decision and data analyzed

• Human review of the automated decision

• Opportunity to provide additional context or challenge the decision

• Clear explanation of any actions taken and rationale

 

This monitoring helps protect the integrity of our share system and ensures fair treatment for all Heroes while respecting your data protection rights.

Our goal is always education and resolution rather than punishment. In most cases, concerns can be addressed through additional training and guidance. However, serious manipulation that threatens our community's integrity may require stronger measures including adjustment of share allocations, temporary restrictions, or in cases of deliberate fraud, termination of Hero status.

You have the right to appeal any decisions and present additional information if you believe our assessment is incorrect. We're committed to transparency and fairness in protecting the system that supports all Heroes' success.

11. Limited to One Hero Status

To protect the Hero community and prevent abuse or conflicts of interest, you may operate only one thnx Hero business and may have only a single sponsor, except as permitted under our inheritance provisions outlined in Section 33. You may only participate in the development of your own Hero business. You are not permitted to recruit any other Hero business, except three inherited Hero accounts as authorized.

12. Determination and Penalty for Dual Hero Status

If you complete more than one application for Hero status, the first one accepted by thnx is considered your valid Hero status. If we determine that you have signed another application or assisted in developing another Hero business while committed to a prior Hero status, we have the discretion to determine the disposition of both Hero statuses and apply appropriate penalties to protect the integrity of our network.

13. Active Status Requirements

Heroes start with inactive status upon payment of the annual membership fee. To achieve active status and qualify for share allocations, you must maintain at least two active non-Hero customer memberships (a paid, non-cancelled monthly membership) directly attributable to your sales efforts within a 3-month period, as outlined in Section 62.1. Active status ensures eligibility for Monthly Distributions, credited to your e-wallet monthly.

14. Territories

Thnx grants you the right to operate your Hero business throughout the designated regions. All transactions are conducted in local currency or US$ according to business strategy or regional regulations. We do not allocate exclusive territories to any Hero, and you may not imply that you represent any geographical area exclusively.

15. Export

To ensure compliance with international regulations and maintain our business integrity, business activity of any kind in countries or territories other than the designated region is prohibited. This includes selling products, registering customers, marketing plans, sponsoring Heroes, advertising, conducting meetings or offering thnx products or opportunities without written authorization.

16. Selling Practices

16.1 Courtesy and Honesty

Your responsibility to members continues beyond their initial joining. We encourage you to maintain contact, check on their satisfaction with products or services, offer guidance on maximizing benefits, and provide the ongoing support that makes the difference between a one-time transaction and a lasting, beneficial relationship. 17. Independent Heroes

All thnx Heroes are independent businesspersons building their own enterprises. You should never represent or imply that you have any employment relationship with thnx or any affiliated companies. Please avoid using words like "employee", "agent" or "company representative" in any verbal or written communications. You are building your own business in partnership with thnx.

18. Truthful Communications and Information

18.1 Building Trust Through Honesty

Honesty is the foundation that makes our Hero community strong and successful. When Heroes commits to truthfulness, we create an environment where trust flourishes and everyone can focus on building their businesses with confidence. Your commitment to honest communication protects not only your own reputation but strengthens the entire thnx community.

18.2 Supporting Our Community Through Accuracy

We ask that all information you provide to thnx be complete, accurate, and submitted promptly. Your diligence in providing accurate information helps us serve you better and maintains the integrity that makes our community trustworthy.

18.3 Honest Representation of Our Opportunity

When sharing information about thnx products, services, or business opportunities, please ensure your claims are factually accurate and based on real experience or documented evidence. Honest representation protects potential Heroes and thnx members from unrealistic expectations and helps build lasting relationships based on genuine value rather than false promises.

18.4 Protecting What We've Built Together

Every Hero's commitment to truthfulness contributes to the reputation we all share. When you communicate honestly about your experience, products, and opportunities, you're not just protecting your own credibility but safeguarding the trust that makes our entire community successful and sustainable.

18.5 Our Commitment to Fairness

While we support your entrepreneurial journey, we must address dishonesty to protect our community. Providing false or misleading information may result in corrective action including suspension or termination of Hero status. 19. Indemnity

While we support your business development, Heroes agree to protect thnx from legal issues arising from their business activities. You agree to indemnify and hold harmless thnx from actions, claims, demands, prosecutions, fines, penalties and associated costs that might arise from any breach of laws or regulations in operating your Hero business. Similarly, thnx has no liability for costs, expenses, or losses you may suffer from your independent business activities.

20. Compliance and Cooperation

20.1 Supporting Our Community Through Compliance

These rules are designed to protect and support your success while maintaining the integrity that makes our Hero community trusted and respected. Heroes must comply with all thnx rules of conduct and any updates we may issue from time to time. We'll always communicate changes clearly and provide reasonable notice when possible.

20.2 Cooperation with Reviews and Inquiries

To maintain our community's reputation and ensure fair treatment for all Heroes, we occasionally need to review business practices and investigate concerns. Your cooperation with these reviews helps us protect the integrity of our opportunity and ensures that any issues are resolved quickly and fairly.

When thnx conducts reviews or requests information, we ask for your prompt and honest cooperation. This includes providing requested documentation, participating in interviews or discussions, and helping us understand any situations that may affect the Hero community. Your cooperation helps us maintain the trust that regulators, partners, and customers place in our business.

20.3 Fair and Transparent Process

We're committed to handling all reviews and enforcement actions fairly and transparently. If concerns arise about your business practices, you'll be given a clear explanation of the issues and an opportunity to respond before any decisions are made. We believe in working with Heroes to resolve problems constructively whenever possible.

20.4 Appeal Rights and Due Process

If you disagree with any enforcement decision, you have the right to request reconsideration and to present additional information. Our goal is always to ensure that Heroes are treated fairly and that decisions are based on complete and accurate information. This process protects both individual Heroes and the integrity of our entire community.

21. Community Support and Hero Development

21.1 Heroes First Resolution Approach

We believe in the strength and wisdom of our Hero community to resolve most challenges through open communication and mutual respect. When disagreements or concerns arise, we encourage Heroes to work together directly to find solutions that strengthen relationships and benefit everyone involved. This community-first approach builds trust and creates lasting partnerships within our network.

21.2 Education and Support Before Enforcement

Our primary response to community concerns is education and support rather than punishment. When issues arise, we focus on helping Heroes understand how to improve their practices and better serve our community. Most challenges can be resolved through additional training, mentorship, and clear communication about expectations.

21.3 Community-Led Resolution

For situations where direct resolution needs support, our community includes experienced Heroes who volunteer as peer mediators trained in conflict resolution techniques. These community leaders can help facilitate discussions and find solutions that work for everyone involved, keeping resolution within our Hero family and building stronger relationships. thnx provides mediation training to volunteer Heroes to enhance their effectiveness in supporting community harmony.

21.4 Mediation Training Program

Thnx offers voluntary mediation training to experienced Heroes who wish to serve as community mediators. This training covers conflict resolution techniques, communication skills, and understanding of Hero policies. Trained mediators help resolve disputes between Heroes while maintaining confidentiality and neutrality. Participation in the mediation program is voluntary and demonstrates leadership within our community.

21.5 When Additional Support Is Needed

While we prefer Heroes to resolve matters together, we're here to support you when issues seriously affect our community's growth or could harm our network's reputation. If you need thnx involvement, simply reach out to [email protected], and we'll work with you to address the situation constructively while protecting the community that supports all of our success.

When formal intervention becomes necessary, this could include additional training requirements, temporary mentorship assignments, or in rare cases involving serious community harm, adjustments to Hero privileges. Our goal is always to help Heroes succeed within our community standards rather than exclude them from our network.

22. Resignation

We understand that circumstances change. You may resign your Hero status at any time by deleting your thnx Hero account or by emailing a written intent of resignation to [email protected]. Your resignation becomes effective when we receive, validate, and accept it. We'll confirm completion of this process in writing.

23. Liability for Unpaid Debts

If you resign, you remain responsible for any unpaid debts owed to thnx or liabilities from violations of our conduct rules. This protects the integrity of our business relationships and ensures fairness to all Heroes.

24. Resignation of Spouse

In joint Hero arrangements, if one spouse resigns, we reserve the right to review the remaining Hero status, particularly if the resigned spouse's activities might diminish, damage or weaken the reputation of thnx or its products.

25. Training

25.1 Hero Basics Education Program

To ensure your success and support our community's professional standards, we've created an online Hero Basics program covering the essential knowledge you need to thrive. This self-paced program includes modules designed to be completed within your first six months as a Hero.

Our training covers the fundamentals that matter most: honest product representation, excellent customer service, responsible income discussions, and community respect principles. Each module takes just 15-20 minutes. You can take assessments as many times as needed, and we encourage feedback to support your learning.

We believe in making education accessible and practical rather than burdensome. Our training designed to fit into your schedule.

To keep our knowledge current and our community strong, we ask all Heroes to participate in a brief annual refresher sessions. These update any new developments and maintain the high standards that make our community trusted and respected.

25.2 Creating a Mentorship Culture

Your Hero sponsor plays a vital role in your success and is committed to helping you, just as you commit to helping the Heroes in your team, providing education about the thnx opportunity. This includes thorough product knowledge, business development guidance, and ongoing support to build a successful Hero business.

We believe in creating a genuine mentorship culture rather than an exploitative relationship. Your sponsor's primary goal should be your success and development as an independent business owner. While sponsors may seek guidance from their upline Heroes when needed, the primary responsibility for your training and support remains with your direct sponsor.

To maintain accessibility and fairness within our community, sponsors cannot charge Heroes for training and essential business education. This ensures every Hero has equal access to the knowledge and support needed for success, regardless of their financial situation. All fundamental training, product education, and business guidance should be provided freely as part of the sponsorship relationship.

This approach creates a supportive environment where sponsors are motivated by your success rather than additional fees, fostering the mentorship relationships that make our Hero community strong and sustainable.

26. Independent Relationship

Sponsors must maintain and respect the independent nature of the relationship with their Heroes. This protects your entrepreneurial independence while providing necessary support and guidance.

27. Support Company Sponsored Events

Your sponsor should keep you informed of company-sponsored events and encourage your participation in thnx meetings, training sessions, and events that support your business development and our community growth.

28. Sponsorship

28.1 Respect Relationships Community Standard

The Hero/Sponsor relationship forms the foundation of our business model and represents significant investments of time, energy, and resources that deserve our protection and respect. Our community operates on the principle of "Respect Relationships" - simply put, don't attempt to recruit from other Heroes' teams or members.

This community standard includes transparent documentation of any concerns raised and resolutions achieved. All community-led resolution processes must be recorded to ensure fairness and accountability, with summaries available to involved parties upon request.

This community standard is largely self-policing, with Heroes looking out for each other and addressing concerns through direct communication. When the community upholds these relationship standards, it creates an environment where everyone can focus on building their own authentic businesses rather than protecting their teams from interference.

Heroes who repeatedly interfere with others' relationships may temporarily lose certain privileges while the community works toward resolution.

We trust our community leaders and experienced Heroes to guide newcomers in understanding these relationship principles. Most situations can be resolved with a simple conversation and mutual agreement to respect established boundaries, strengthening our community bonds in the process.

28.2 Protecting Our Community Through Mutual Respect

Our Hero community thrives when we respect and protect each other's business relationships and investments. We understand that sponsors dedicate considerable time, energy, and resources to building their organizations and supporting their Heroes. These relationships form the foundation of our community's success and deserve our protection and respect.

Focussing on building authentic relationships with your own members and Heroes contribute to an environment where everyone feels secure and can concentrate on growth. This approach creates the trust-based relationships that make our community strong and sustainable.

We ask that you avoid activities that could interfere with other Heroes' businesses, such as attempting to encourage Heroes to change sponsors, offering incentives to disrupt existing relationships, or making disparaging comments about other Heroes' businesses. Instead, channel your entrepreneurial energy into building your own authentic customer base and supporting your downline's success.

Your commitment to respecting established relationships helps create stable business hierarchies where Heroes can invest confidently in training and supporting their teams, knowing those relationships are protected. This mutual respect allows our entire community to focus on what we do best - helping members, others and building successful businesses together.

By maintaining these standards of respect and non-interference, you're not just protecting individual Heroes but strengthening the foundation that allows our entire community to prosper and grow sustainably.

29. Violation of the Change of Sponsorship Rule

If evidence shows that a Hero has re-joined thnx under a different sponsor before the required 12- month waiting period, we have the discretion to apply appropriate penalties. These may, include transferring sponsored Heroes back to the original sponsor's organization, financial penalties, suspension, or termination.

30. Assigning or Transferring a Hero Status

Hero status may only be assigned or transferred to someone who is not currently a thnx Hero, and such transfers must be approved by thnx. The person receiving the Hero status must register and meet all requirements. Since achievements are personal, status and benefits achieved by the original Hero are not transferred with the Hero status.

31. Separation or Divorce

During separation, divorce, or dissolution of marriage, Heroes must ensure that the interests of the Hero status and sponsor are protected. During proceedings, neither party may develop or assist in developing any other thnx Hero business except under their original sponsor.

 

In the event of a separation of a divorce, thnx do not get involved in any way to ascribing a monetary value to the earnings of any Hero.

32. Authority of a Legal Decision

Our rules and regulations do not supersede court decisions regarding the disposition of Hero status and the rights, benefits, or obligations of parties involved.

33. Death of a Hero

Upon the death of a Hero who has a surviving spouse or heir who actively participates in the business, the Hero status will remain with the spouse or heir. Children under the age of 18 may continue as inactive Heroes members until their 18th birthday. Where multiple heirs are inherited the Hero account will be under one named Hero with one responsible account holder. Any other disposition must be approved by thnx.

In the event of the death of a Hero, thnx will not ascribe a monetary value to the earnings of Hero since they are variable each month. Thnx will not proactively seek spouses or heirs but e-wallets will continue to be credited with the Heroes share of the Monthly Distribution for a period of 24 months before the Hero account is deemed closed.

34. Proper Purchasing of Product

To ensure accurate tracking and fair share allocation, you must purchase all thnx products directly from thnx as they are used to calculate personal and group Hero shares.

35. Volume Cycle

Sales cycle volume is credited and accumulated monthly. The volume calculation begins on the 1st day of each month and ends on the last day of the month. Our servers operate on Greenwich Mean Time and all cycles are calculated accordingly. We reserve the right to modify the volume cycle as appropriate. Sales cycle volume is credited to the month in which full payment is received by thnx. Volume cannot be moved between months.

36. Product Distribution

Thnx is a technology and service distribution company. Our products and partner products and services are intended to be sold to genuine customers who will use and benefit from them. Selling products or services solely to qualify for advancement in our marketing plan (refer, earn, and cancel) is not permitted and undermines the integrity of our business and the earnings of the Hero community. Such attempts will result in sanctions including demotion, probation, suspension of privileges, suspension of share allocations, disqualification from bonus participation, or termination.

37. Debts Owed to thnx

If you owe thnx any money, we reserve the right to deduct the amount from any payments due to you or withhold share distributions until all amounts are paid in full. We may also decline to recognize qualifications until debts are resolved.

38. Directions for Use

Heroes should explain the benefits of each product and service according to our official training materials, ensuring customers maximize the value of services provided.

39. Display in Retail Outlets and other Establishments

Your fundamental business as a thnx Hero is referring our products and partner products to leads and contacts. You may market products in appropriate locations such as markets, trade events, schools, professional offices, beauty salons, health spas, or gymnasiums, where permitted by local regulations and property owners.

40. Display or Sale Online

You may display and advertise thnx products on personal websites but may not generate leads from auction sites, coupon sites, discount sites or similar platforms. All thnx products must be sold through official thnx Hero websites to ensure proper tracking and customer service.

41. Heroes Private Offices

If you have a private office, you may promote thnx products from that location and display advertising using signs, posters, flyers, or brochures approved by thnx.

42. Advertisement and Promotional Material

To maintain brand consistency and quality, you may only use thnx-produced advertising and promotional materials. You may use our literature and promotional materials solely for conducting your business as a thnx Hero.

43. Interviews or Statements to the Media

Media interest in our products and business opportunities is inevitable, but to ensure consistent and accurate messaging, only authorized thnx officials may speak with or write to the press or other media on behalf of thnx or its subsidiaries. If you're approached for an interview or statement, please direct the reporter to contact thnx directly.

44. Offering the Business Opportunity

44.1 Honest Opportunity Presentation

You agree when presenting the Hero opportunity that you do so in accordance with the law including the requirement to be truthful, accurate and not misleading, and to convey realistic expectations about potential earnings. All marketing undertaken must be compliant with applicable advertising laws.

When presenting the business opportunity or our marketing plan, your approach should be honest, balanced, and focused on helping potential Heroes make informed decisions. We believe that transparency and realistic expectations create stronger, more committed Heroes than exaggerated promises or high-pressure tactics.

44.2 Required Standards for Opportunity Discussions

When discussing the thnx opportunity, you must clearly indicate that the principal activity of a Hero is creating customer referrals for thnx products and partner products. You should not represent or imply that this is secondary to sponsoring or building your organization, as genuine customer service is the foundation of sustainable success.

You must not imply that a Hero can benefit solely by sponsoring other Heroes, suggest that Heroes are under any obligation to sponsor others, or imply that success may be achieved with little or no effort. Always make accurate and truthful statements, and never claim that high earnings can be easily achieved.

44.3 Creating Realistic Expectations

Help potential Heroes understand that success requires dedication, learning, and consistent effort in building genuine customer relationships. When you present realistic expectations about the time, effort, and skills required, you help ensure that new Heroes are prepared for success rather than disappointed by unrealistic assumptions.

44.4 Protecting Community Reputation

Your honest and professional approach to presenting the thnx opportunity protects not only potential Heroes from disappointment but also safeguards the reputation that all Heroes depend upon for their success.

45. Truthful Income, Service & Product Representation

45.1 Honest Earnings Representation

When sharing information about earnings from your Hero business or discussing the income potential of others, you must always be completely truthful and ensure your statements can be verified through actual documentation which represents genuine, achievable and sustainable results rather than exceptional or temporary circumstances.

45.2 Keep It Real Guidelines

We want every Hero to share their genuine experience while protecting others from unrealistic expectations. Our "Keep It Real" approach is simple: only share what you can prove, and always include the phrase "results not typical" when discussing any earnings or outcomes.

When sharing your success story, whether through social media, conversations, or presentations, focus on your actual experience rather than projections or possibilities. Screenshots of earnings are not acceptable as they do not include context about the time period and effort involved. This honest approach protects both you and potential Heroes from disappointment while building the credibility our community depends upon.

We ask you to avoid certain phrases that can mislead others, such as "guaranteed income," "easy money," "get rich quick," or "no work required." Instead, share the reality of your journey, including the effort you invested and the learning process you experienced. This authentic approach attracts Heroes who are prepared for genuine success.

Our community helps monitor these standards through friendly peer guidance. If you notice concerning claims that could mislead potential Heroes, simply forward them to [email protected]. We prefer education over enforcement and will work with Heroes to improve their communication rather than impose penalties whenever possible.

45.3 Responsible Product Claims

All claims about thnx products, services, and business opportunities must be truthful, non-misleading, and substantiated with thnx-provided evidence. Heroes must use only thnx-approved data in promotions to ensure compliance with applicable advertising laws. Exaggerated benefits, unrealistic timelines, or unsubstantiated outcomes are prohibited. Your commitment to accurate representation helps build the credibility that benefits our entire community.

45.4 No Unrealistic Income Projections

Avoid making claims about easy money, guaranteed earnings, or "get rich quick" scenarios. Instead, focus on the genuine value our products provide and the real business opportunity available to those willing to invest time and effort in building relationships and serving customers.

45.5 Building Trust Through Transparency

When you represent our products and opportunities honestly, you contribute to the trustworthy reputation that makes customers and potential Heroes confident in choosing thnx. This transparency creates the foundation for sustainable growth and long-term success for our entire community.

46. Video/Audio

You may not display or mention any thnx product, trademark or trade name in video or audio recordings unless such content has been approved by thnx. This protects our brand and ensures consistent messaging.

47. Television, Satellite or Radio Broadcasting

Broadcasting any video or audio content that relates to, mentions, displays, or promotes the thnx name, products, materials, business opportunity or methods of conducting business is not permitted without prior approval.

48. Telephone Book Listings

You may list yourself in telephone directories under "thnx Independent Hero" followed only by your name, address and telephone number. Display advertisements must comply with our advertising guidelines.

49. Local Laws

In addition to thnx policies, you must comply with all local and national laws and regulations when operating your business and promoting thnx products or business opportunities. It's your responsibility to understand and follow applicable regulations in your area.

50. Must Retail and Qualify to Earn

You must clearly indicate that share allocations and other earnings can only be achieved through sales of thnx memberships, products and partner products and services to customers by yourself and your sponsored Heroes, and after meeting certain qualifications.

51. No Obligation to Purchase Product

You may not represent that there is any obligation to purchase products, literature, or sales aids except for the one year thnx membership and registration requirements. You also may not represent that share allocations and earnings can be obtained solely from purchasing products rather than making genuine retail sales.

52. Trade Names, Trademarks and Logos

Our trademarks, trade names, logos and related intellectual property belong exclusively to thnx. You may not use these without prior written consent. We work diligently to protect our brand identity to prevent unauthorized use.

53. Business Stationery

You may not produce business stationery independently. All stationery must be professionally printed from artwork provided by thnx and must clearly indicate that your business is independent and that you are a thnx Hero. The wording may not imply that you are employed by thnx.

54. Reproduction of Material

No Hero may reproduce any printed material, audio recordings, video content, or other materials produced by thnx without written authorization. This protects our intellectual property and ensures quality standards. Thnx will provide opportunities for Hero generated content to be shared by all Heroes.

55. Intellectual Property and Content

55.1 Building Our Brand Together

As we work together to build the thnx brand and community, the content you create helps tell our shared story of success. To protect this valuable community asset and ensure we can continue inspiring future Heroes, we need clear guidelines about content created during your Hero journey.

Heroes cannot infringe third-party intellectual property rights when creating content. You must ensure all content you create is original or properly licensed, and does not violate copyrights, trademarks, or other intellectual property rights of third parties.

55.2 Business-Related Content Assignment

You assign to thnx (where legally permitted) all rights, title, and interest in content you create specifically in connection with your Hero business activities, provided such content does not infringe third-party intellectual property rights, including: Success stories and testimonials about your Hero experience, Training materials and presentations for thnx products or opportunity, Customer testimonials you collect on behalf of thnx, Product demonstration content and instructional materials, Case studies featuring your Hero business development.

You warrant that all content you create and assign to thnx is original or properly licensed and does not violate any third-party intellectual property rights.

55.3 Perpetual License for All Content

For all business-related content (whether assignable or not), you grant thnx a perpetual, irrevocable, worldwide, royalty-free license to: Use, reproduce, modify, and distribute the content, Translate content into other languages, Create derivative works based on your content, Use your name, image, and likeness in connection with the content and Display content across all media platforms and marketing channels.

55.4 Moral Rights Consideration

Where legally permitted, you waive moral rights of attribution and integrity for business-related content, understanding this allows thnx to use content flexibly for community benefit. In jurisdictions where moral rights cannot be waived (such as Australia and parts of EU), you consent to thnx's reasonable exercise of licensed rights, including editing for length, format, or platform requirements.

55.5 Personal Content Protection

This clause applies only to content created for your Hero business activities. Your personal social media posts, family photos, and non-business content remain entirely your own, unless you specifically create them to promote thnx products or opportunity.

55.6 Respectful Use Commitment

55.7 Continuation After Partnership

These content rights continue after your Hero agreement ends, allowing us to preserve the valuable community stories and training materials that help future Heroes succeed. This ensures the investments you and thnx made in creating quality content continue benefiting our community.

55.8 No Additional Compensation

Content creation and sharing is part of building your Hero business and community presence. No additional payment is owed for content usage beyond your standard Hero benefits and share allocations.

55.9 Data Protection Compliance

Content usage complies with applicable privacy laws, including GDPR, UK GDPR, and CCPA. Heroes may request removal of content containing personal data per the "right to be forgotten" or equivalent provisions. thnx will process such requests within 30 days, subject to legitimate business interests (e.g., preserving community training materials). Submit requests to [email protected].

55.10 Existing Content

If you have already created business-related content before agreeing to these terms, your continued participation as a Hero constitutes consent for thnx to use such content under these same provisions.

55.11 Penalties for supplying non-thnx sales aids or material

If we determine that you have used your thnx Hero status and network to sell or supply non-thnx materials, products or services and these violate our conduct rules or damage our business reputation, we reserve the right to take appropriate action to protect our brand and hold you responsible for any damages incurred.

56. Share Allocation and Monthly Distribution

56.1 Our Partnership Philosophy

Rather than traditional commissions or salaries, thnx Heroes participate in our unique share-based system that distinguishes us from typical MLM companies. You earn monthly shares that determine your portion of thnx Monthly Distribution.

 

COMPENSATION STRUCTURE

Heroes may qualify for monthly distributions based on performance criteria. Distribution amounts are calculated according to the compensation plan available in your toolbox under account/growth hub/your toolbox/how the ranking system works.

No minimum earnings are guaranteed. Participation does not guarantee earnings. Results depend on personal effort, skill, and market conditions. As the thnx multi-level share plan is new, thnx has no historical Hero earnings data to provide. Thnx commits to publishing actual earnings statistics within 12 months of operation, including median earnings and percentage of Heroes earning various income levels. I understand that the thnx Multilevel Share plan is new and has no operating history or earnings data. I acknowledge this involves business risk and that success is not guaranteed.

56.1a Complete Distribution Commitment

thnx demonstrates its commitment to Hero success through our complete distribution policy: 100% of the allocated Monthly Distribution reaches the Heroes eWallets based on their contribution and activity. This means every penny of your collective Monthly Dividend is distributed and nothing is retained by the company from the allocated distribution pool.

56.1b Comprehensive and Inclusive Ecosystem Participation

Your Monthly Distribution includes earnings from ALL thnx online revenue sources, not just Hero-driven sales. When our insurance partners sell thnx memberships, when football clubs promote thnx to their social media followers, when any business partner generates thnx revenue - you benefit proportionally from that success.

Revenue Sharing Commitment: thnx allocates 50% of retained revenue (sales revenue minus VAT, bank charges, and operational/platform costs not exceeding 15% of gross revenue) to the Monthly Distribution pool, which is wholly distributed to the Hero community each month.

This means your earnings grow with the entire thnx ecosystem, not just your personal team. As thnx expands through corporate partnerships, social media campaigns, and business collaborations, every active Hero shares in that collective success fairly and transparently.

56.2 How Shares Are Calculated

Your shares are allocated based on multiple factors that reward genuine value creation including direct sales performance to real customers, team sales performance and development, customer retention and compliance with Hero standards and training, and achievement of qualification criteria and milestones.

56.3 Monthly Distribution Process

We calculate the Monthly Distribution by the 7th of each month. Your individual entitlement equals your shares divided by total community shares, multiplied by the Monthly Distribution amount.

To ensure efficient processing and meaningful payments, we maintain a minimum payout threshold of €10. If your monthly distribution is below this amount, it will be carried forward in your eWallet and subsequent months earnings will be added until the threshold is reached.

We process payments within 30 days and provide detailed online statements showing how your share was allocated, ensuring complete transparency in our distribution process.

56.4 Earnings Structure

Share allocations and distributions fluctuate based on overall thnx performance and your own team’s contribution. You benefit from every aspect of our business growth through our comprehensive revenue sharing system. We provide no guarantee of minimum earnings, but we guarantee that 100% of the allocated Hero Monthly DIstribution reaches our Hero community.

This approach means Heroes participate in the success of the entire thnx ecosystem, creating aligned interests where company growth directly benefits every active Hero proportionally. We're committed to complete transparency in how distributions are calculated and allocated, with detailed reporting available through your Hero dashboard.

56.5 Earnings Estimator

Thnx provides an Earnings Estimator tool on www.thnxtags.com/become-ambassador to help prospective and active Heroes estimate potential earnings based on their ability to sell thnx memberships, tags, and partner products to genuine customers. The estimator is designed to promote transparency and set realistic expectations, in compliance with applicable laws and regulations.

56.5.1 Purpose and Functionality

The Earnings Estimator calculates hypothetical earnings based on user inputs, such as the estimated number of memberships sold per month, using the share-based compensation plan outlined in Section 57.2. All customers who purchase a thnx membership are entitled to become Heroes. The estimator calculates estimated earnings based only on the sale value of some of the thnx memberships, if you sell other products and services your actual earnings may be higher.

56.5.2 Compliance Requirements

Heroes must use the estimator responsibly and avoid making exaggerated or unsubstantiated income claims when sharing results with prospects. The estimator includes a disclaimer; the tool is for estimation purposes only and should not be considered financial advice. Also Individual results will vary significantly based on market conditions and personal circumstances. Results are not typical, Heroes may earn less than estimated amounts since thnx MLS has no historical earnings data. The calculations are based on disclosed assumptions of membership price, share allocation formula, available in your toolbox under account/growth hub/your toolbox/how the ranking system works. Heroes must disclose their financial interest that they may earn from thnx membership sales when sharing estimator results, per applicable advertising laws.

56.5.3 Regulatory Alignment

The estimator complies with EU, UK, and US regulations, including the EU Unfair Commercial Practices Directive, UK Consumer Protection from Unfair Trading Regulations, and US FTC Guidelines, by emphasizing retail sales and providing clear disclaimers. Heroes must be responsible in the use of the estimator, ensuring alignment with the "Keep It Real" guidelines (Section 45.2).

56.5.4 Monitoring and Updates

Thnx will regularly review the estimator's functionality and outputs to ensure compliance as earnings data becomes available (per Section 57.1). Feedback on the estimator can be submitted to [email protected] to maintain its accuracy and thnx regulatory alignment.

57. Partner Products and Services

57.1 Expanding Your Opportunities

Thnx collaborates with carefully selected partners to offer additional products and services that complement our core technology platform. These partner products provide additional earning opportunities while serving our customers' broader needs.

57.2 Partner Product Guidelines

When selling partner products and services, you must:

• Complete required training for each partner product category

• Maintain any necessary licenses or certifications

• Comply with partner-specific regulations and guidelines

• Provide accurate information about partner products and services

• Honor all partner product guarantees and policies

57.3 Regulatory Compliance

Some partner products may require additional licensing or regulatory compliance. You are responsible for understanding and meeting these requirements in your jurisdiction before promoting or selling such products.

58. Independent Contractor Status

Heroes are independent contractors building their own businesses in partnership with thnx. This relationship exists across all jurisdictions where the Heroes scheme operates, giving you the freedom to build your enterprise while maintaining clear boundaries.

58.2 What This Means for You

As an independent contractor, you are not entitled to employee benefits such as health insurance, paid time off, retirement benefits, unemployment compensation, or worker's compensation. This independence also means you have control over how you build and operate your business. You are entirely in control of what effort and time you devote to growing your monthly share.

58.3 Your Responsibilities

You are solely responsible for all tax obligations, including income tax, national insurance, self-employment tax, and any applicable business taxes in your jurisdiction. You're also responsible for obtaining any required business licenses or permits.

59. Data Protection and Privacy

59.1 Protecting Customer Information

Customer data is precious and must be handled with care. You must handle all customer information in accordance with applicable privacy laws (including GDPR where applicable) and maintain strict customer confidentiality.

59.2 Consent and Transparency

Always obtain proper consent for data processing and be transparent about how customer information will be used. Report any data breaches immediately to protect both customers and our business (for latest thnx data privacy policy see www.thnxtags.com).

59.3 Business Confidentiality

Protect thnx confidential information including pricing strategies, business plans, and proprietary methods. Return all confidential materials if your Hero status is terminated.

60. Digital Marketing Guidelines

60.1 Professional Online Presence

Your social media and digital marketing activities must reflect our professional standards and values. Maintain brand consistency and comply with our digital marketing guidelines.

60.2 Approved Content

Use only thnx-approved marketing materials for digital promotions. Request approval for custom content to ensure it meets our brand standards and regulatory requirements.

60.3 Compliance with Platform Rules

When using social media and other digital platforms, comply with their terms of service in addition to our guidelines.

61. Performance Standards and Support

61.1 Minimum Activity Requirements

Maintain active status through regular sales activity and meet quarterly performance targets. Respond to customer inquiries within 24 hours and participate in required training sessions.

61.2 Quality Metrics

We track customer satisfaction ratings, compliance audit results, professional development completion, and sales performance indicators to ensure the quality of our Hero network.

We're committed to your success and provide ongoing training, support materials, and guidance to help you build a thriving business.

62. Performance Standards and Support

62.1 Quality Metrics and Customer Requirements

We may track customer satisfaction ratings, compliance audit results, professional development completion, and sales performance indicators to ensure the quality of our Hero network. These metrics help us maintain the professional reputation that attracts customers and creates opportunities for all Heroes.

To maintain active Hero status and qualify for share allocations, Heroes must maintain at least two active non-Hero memberships directly attributable to their sales efforts. This requirement ensures that Heroes remain focused on genuine customer acquisition and service rather than solely on building their Hero network. These customer relationships form the foundation of sustainable business growth, demonstrate your commitment to providing real value in the marketplace, and help protect our community from regulatory concerns by showing we prioritize real product sales over recruitment.

62.2 Ongoing Support

We're committed to your success and provide ongoing training, support materials, and guidance to help you build a thriving business.

62.3 Severability

If any provision is deemed invalid in any jurisdiction, the rest of the agreement remains in full force, ensuring continuity of our partnership.

63. Governing Law and Dispute Resolution

63.1 Governing Law

This agreement is governed by Dutch law, providing a stable legal framework for our partnership regardless of where you operate.

63.2 Resolving Differences

If disputes arise, we prefer to resolve them constructively:

1. Good faith negotiation (30 days)

2. Mediation if required (60 days)

3. Binding arbitration under ICC Rules (initial filing fee split 50/50)

4. Dutch courts as final jurisdiction

63.3 Severability

If any provision is deemed invalid in any jurisdiction, the rest of the agreement remains in full force, ensuring continuity of our partnership.

64. Entire Agreement and Amendments

This agreement represents our complete understanding and partnership terms. We may update these terms as our business evolves, and we'll provide reasonable notice of material changes. Amendments require written authorization from thnx representatives.

Regulatory Compliance

You acknowledge that direct selling activities are subject to various consumer protection laws and regulations. Hero agrees to comply with all applicable laws in the jurisdictions you are active, including all applicable advertising laws and regulations. You agree that failure to maintain regulatory compliance may result in termination.

You understand that thnx provides training and guidance to support your compliance efforts, and you commit to participating in required compliance education. This includes understanding proper product representation, honest income discussions, and professional customer service standards.

Hero Acknowledgment and Acceptance

By checking the acceptance box during registration, I acknowledge that I have read, understood, and agreed to these partnership terms. I understand that I am an independent contractor building my own business in collaboration with thnx, and I'm excited to begin this entrepreneurial journey.
